Introduction These Terms & Conditions ("Terms") govern your use of the website [haber.chat](https://haber.chat?hsLang=en), the HaberChat app at [app.haber.chat](https://app.haber.chat), and the services provided by Haber Tech ("we", "us", or "our"). By accessing or using our Website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Website or services. ## 3. Service Description HaberChat is an online platform that lets businesses connect their WhatsApp numbers and manage conversations as a team, with a shared inbox, chat assignment, automations, AI agents, campaigns and integrations. ### WhatsApp and Meta HaberChat connects to WhatsApp, a service operated by Meta Platforms, Inc. HaberChat is an independent platform and is not affiliated with, endorsed by, or an official solution of Meta or WhatsApp. Your use of WhatsApp through HaberChat is also subject to WhatsApp's own terms and policies. Meta may restrict, suspend or ban WhatsApp numbers or accounts at its own discretion. We cannot control or reverse such actions and are not responsible for them, or for any loss they cause. ## 4. User Accounts To access certain features of our service, you may be required to create an account. You agree to: - Provide accurate and complete registration information - Maintain the security of your account credentials - Notify us immediately of any unauthorized access to your account - Accept responsibility for all activities that occur under your account We reserve the right to suspend or terminate accounts that violate these Terms. ## 5. Age Requirement You must be at least 18 years old to use our service. By using our service, you represent and warrant that you meet this age requirement. ## 6. Acceptable Use You agree to use our service only for lawful purposes and in accordance with these Terms. You agree not to: - Use the service for any unlawful purpose or to violate any applicable laws or regulations - Send unsolicited advertising, spam, or promotional materials - Use automated systems to scrape, crawl, or collect data from our service without permission - Infringe upon the intellectual property rights of others - Break WhatsApp's Business or Commerce Policies, including sending messages to people who have not opted in to receive them - Impersonate any person or entity, or falsely represent your affiliation with any person or entity - Upload or distribute viruses, malware, or other harmful software - Harass, abuse, threaten, or intimidate other users ## 7. User Content Our service may allow you to post, upload, or share content ("User Content"). By submitting User Content, you: - Retain ownership of your User Content - Grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content as necessary to provide the service - Represent that you have the right to submit the content and that it does not violate any third-party rights We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable. ### How we moderate content We may review, restrict, or remove User Content that breaks these Terms or the law, and we may suspend accounts that repeatedly do so. We apply these rules carefully, objectively and proportionately, with regard to your rights, including your freedom of expression. We do not routinely monitor User Content. We act when we receive a report or a legal request, or see signs of abuse, and a person reviews each case before we act on it. If we restrict or remove your content, or suspend your account, we will tell you why and you can challenge the decision by contacting us at [support@haber.chat](mailto:support@haber.chat). We will look at it again and tell you the outcome. ## 8. Payments & Subscriptions Certain features of our service require payment. By subscribing to a paid plan, you agree to: - Pay all applicable fees as described at the time of purchase - Provide accurate and complete billing information - Authorize us to charge your chosen payment method on a recurring basis Prices are shown on our website before you order, exclusive of VAT and other applicable taxes. Where tax applies, it is added at checkout, and you see the total you will pay each month before you commit. ### Automatic renewal Your subscription renews automatically at the end of each billing period at the price then shown for your plan, until you cancel. We will remind you before a renewal where we are required to do so. ### Cancelling Online at any time from the Billing section of your account at app.haber.chat. Cancellation takes effect at the end of the current billing period, and you keep access until then. If you signed up online, you can cancel online, without having to call or email us. ### Free trial We may offer a free trial. It does not require a payment method and does not turn into a paid plan automatically: at the end of the trial your account stops working unless you choose a paid plan. ### Your right to cancel If you are a consumer, you have 14 days from entering into the contract to cancel it and get a full refund, without giving a reason. You can tell us by any clear statement, including by email to [support@haber.chat](mailto:support@haber.chat). If you ask us to start providing the service straight away, during those 14 days, and you acknowledge that doing so means you lose the right to cancel once the service has been fully provided, then you will lose that right at that point. If you cancel after we have started but before the service is fully provided, you pay only for what you have received. This right applies in addition to anything said in our refund policy below, and cannot be taken away by these Terms. ### Refund Policy All payments are final and non-refundable. You may cancel your subscription at any time, but no refunds will be issued for the current billing period. ## 9. Intellectual Property The service, including all content, features, and functionality, is owned by Haber Tech and is protected by international copyright, trademark, patent, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any portion of the service without our prior written consent. ## 10. Limitation of Liability Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited or excluded by law. If you are a consumer, nothing in these Terms affects your statutory rights. Subject to the paragraph above, and to the fullest extent permitted by law, Haber Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from: - Your use or inability to use the service - Any unauthorized access to or use of our servers or any personal information stored therein - Any interruption or cessation of transmission to or from the service - Any bugs, viruses, or similar harmful code transmitted through the service ## 11. Disclaimer of Warranties If you are a consumer, we provide the service with reasonable care and skill, and it will be of the quality and have the features you can reasonably expect. We will tell you about, and provide, the updates needed to keep it that way, including security updates, for as long as you use it. Nothing below takes away those rights. Beyond that, and to the extent the law allows, the service is provided on an "as is" and "as available" basis. ## 12. Termination We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we stop providing the service. Except where you are in serious breach, we will give you reasonable notice first, and if you have paid for a period you have not received, we will refund it. Upon termination, your right to use the service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive. ## 13. Governing Law & Disputes These Terms are governed by the laws of Israel. If you are a consumer, this choice of law does not take away the protection given to you by the mandatory rules of the country where you live. You can bring proceedings in the courts of the country where you live, and we will only bring proceedings against you in those courts. ## 14. Changes to These Terms We may change these Terms where we need to reflect a change in the service, in the law, or in how we operate. We will tell you about any change that affects you before it takes effect, and explain what it means. If the change is more than minor and you do not accept it, you may end your agreement with us free of charge within 30 days and we will refund anything you have paid for a period you have not received. ## 15.
